Client Terms of Purchase

These Client Terms of Purchase govern all purchases made by Clients (artists and employers) on the Artsoundz Platform. By creating a Client account, booking a Service Package, or making any payment, you agree to be legally bound by every provision in this document.
Plain Language Summary. You are purchasing custom digital music services from independent Creators. You pay upfront; funds are held in escrow. The Creator delivers; you review. If the work meets the specifications you described and purchased, you accept it and the Creator is paid. If there is a problem, use the Platform’s revision and dispute process — not a bank chargeback. Acceptance happens only when you explicitly accept the Deliverable, or automatically 5 business days after delivery.
1. What You Are Buying
When you book a Service Package, you are purchasing the specific services described in that Package as listed by the Creator. Your payment entitles you to exactly what the Service Package specifies — no more and no less. You are not purchasing an unlimited creative service, an outcome you imagined but did not describe, or a guarantee of commercial success.
The Service Package listing, as it existed at the time you confirmed your booking, is the binding specification. Your Project Brief — your written instructions submitted in the Project thread — is your responsibility. A vague brief produces a result consistent with that vague brief. The more specific your brief, the more precisely the Creator can match your vision.
You are purchasing custom digital music assets that cannot be “returned” once delivered. Standard physical-goods change-of-mind return rights do not apply to custom digital music productions created specifically for you.
2. Revisions
Each Service Package states a specific number of revision rounds. Artsoundz enforces a mandatory revision-first policy: if you are not satisfied with an initial Deliverable for any reason within the scope of your brief, your first obligation is to use your included revision rounds before any refund request will be considered.
A valid revision request must be: (a) submitted in writing through the Project thread; (b) specific and actionable (“Increase the kick drum low-end by 3–4 dB” is valid; “This doesn’t feel right” is not); and (c) within the scope of your original Service Package. Once all revision rounds are exhausted, the Project is complete.
3. Acceptance of Deliverables
Upon delivery you have 5 business days to accept, request a revision, or open a formal dispute. If you do not take any action within 5 business days, Auto-Acceptance occurs automatically — the Project completes, the Creator’s payout is released, and all revision and refund rights are permanently waived.
You may request one extension of up to 3 additional business days before the 5-day window expires. Extensions cannot be granted retroactively.
How acceptance works. Acceptance occurs only by (a) your explicit acceptance action in the Project Thread, or (b) Auto-Acceptance 5 business days after delivery. Downloading, streaming, or previewing a Deliverable does not by itself constitute acceptance and does not waive your revision or dispute rights — those rights remain available until you accept or the 5-business-day window expires.
4. No-Chargeback Commitment
By making any purchase on the Platform, you expressly commit that you will not file a payment dispute (chargeback) with your bank, credit card issuer, or payment processor for any transaction that can be, or has been, addressed through the Platform’s internal dispute process.
A chargeback causes immediate, serious financial harm to the Creator — even if they delivered correctly. The Creator’s payout is automatically clawed back, they are charged a $15–$25 processing fee by Stripe, and the resolution process takes 60–120 days. The Platform’s dispute process issues a determination within 5 business days — use it.
Clients who file unauthorized chargebacks face: immediate account suspension, permanent termination, immediate reversion of all IP rights in the Deliverable to the Creator, Artsoundz contesting the chargeback with the payment processor, and potential legal action for all costs and damages.
5. IP Rights Transferred to You
Upon full payment release, all copyright and commercial rights in the Deliverable transfer to you exclusively — worldwide, perpetually, and royalty-free. This includes commercial release, streaming, distribution, sync rights (use in video/film/ads), mechanical rights for original compositions, broadcasting, and sub-licensing to labels, publishers, or distributors.
IP rights transfer is conditioned on full, final payment. If your payment is reversed (chargeback) or a valid refund is issued, all IP rights revert to the Creator immediately and your right to use the Deliverable is immediately revoked. Continued use after IP reversion may constitute copyright infringement.
6. Dispute Process
A dispute is valid only if based on an objective, verifiable specification failure: non-delivery, incomplete delivery, wrong file format, technically defective files, demonstrable brief misalignment, or confirmed IP infringement. Subjective dissatisfaction, change of creative direction, and exhausted revisions are not valid dispute grounds.
Disputes must be submitted to Jrosado@artsoundz.com with subject line “Project Dispute — [your project number]” within 7 calendar days of delivery. IP infringement claims may be submitted within 90 calendar days of delivery.
7. No Off-Platform Circumvention
When you connect with a Creator through Artsoundz, you agree not to solicit, arrange, or complete that engagement — or any substantially similar future engagement with the same Creator — outside of the Platform in order to avoid the Take-Rate, for a period of 12 months after your last Platform interaction with that Creator. This protects the escrow, dispute, and IP-transfer safeguards that only apply to on-Platform transactions. Circumvention is a material breach of these Terms and may result in account suspension, loss of buyer protections, and legal action for the fees avoided.
8. Governing Law & Contact
These Terms are governed by the laws of the United States and the State of New Jersey. Any dispute not resolved through the internal dispute process shall be resolved by binding individual arbitration under JAMS or AAA commercial arbitration rules, conducted in New Jersey. Class actions are prohibited. EU and UK users retain applicable statutory consumer rights.
The platform take-rate (15% standard, or 8% for Founding Creators) is deducted from Creator payouts only. Clients pay the listed package price and nothing more. Payouts to Creators are processed via Stripe Connect within 3–7 business days of project completion.
